Company formation services in Tbilisi, Georgia
Company registration in Georgia for foreigners: at a fixed price, reviewed by a lawyer, without flying in
Company formation for foreigners in Georgia needs no local partner and no visit. A Georgian LLC is registered in about one business day once the file is complete. Trustlex generates the charter, the founder's resolution and the power of attorney from one online application, a Georgian advocate reviews them, and the filing, the tax registration and your portal follow at a price you see line by line before you pay.
This route fits you if
- You want 100% foreign ownership. Georgia allows it, with no local partner and no local director required.
- Your founders are individuals with passports from any country, one or several.
- Your activity is standard: consulting, software, agency work, e-commerce, trading support, holding.
- You want the tax status decided before filing, not discovered after.
- You want every document, every next step and every message in one portal, in English or Russian.
Take another route if
- You will work alone and bill in your own name: the 1% regime for individual entrepreneurs may fit better. See the 1% route
- A corporate shareholder, a trust or a regulated activity is involved. That is the Cross-border package, scoped in a proposal after a short call. Book a call
- You need a gambling, payment or crypto licence: licensing is a separate matter with its own fee. See licensing

How our company formation service works
- 1
Apply online in about ten minutes
Company name in Georgian and Latin script, founders, activity and address. You get a preliminary route and a document list straight away, without creating an account first.
- 2
A lawyer reviews and the tax status is chosen
Name availability, ownership, the regime that fits (standard, Virtual Zone, small business) and anything that needs a human decision. The recommendation is explained, not just given.
- 3
Your documents are generated
Charter, founder's resolution and power of attorney. Remote founders sign the power of attorney before a notary at home, apostille it and courier the original to Tbilisi.
- 4
Filing at the Public Registry
Registration typically takes one business day after a complete file. You receive the extract and the company's identification number in the portal.
- 5
Tax registration and hand-over
Revenue Service registration, rs.ge and my.gov.ge access, all included in the formation fee, every document in your vault and a compliance calendar that tells you what is due and when.
What you need
- A passport for each founder and director
- Two options for the company name
- A registered address in Georgia: yours, or the Trustlex address
- Shareholding and director details
- For remote founders: a notarised, apostilled power of attorney with a certified Georgian translation. We generate the text and coordinate the translation.
Countries outside the Hague Apostille Convention use consular legalisation instead. The checklist tells you which applies to yours.
Questions foreign founders ask first
Can a foreigner own 100% of a Georgian company?
Yes. Foreign citizens can hold 100% of an LLC in Georgia. No local partner, local director or Georgian residence is required.
Is there a minimum share capital?
Georgian law sets no minimum share capital for an LLC. The charter records the contributions the founders agree on.
How long does registration take?
The Public Registry registers an LLC within about one business day on the standard track and the same day on the expedited track. For a remote founder the realistic end-to-end timeline is two to three weeks, because the power of attorney has to be notarised, apostilled, couriered and translated first.
Do I have to travel to Georgia?
No. A notarised and apostilled power of attorney lets Trustlex register the company for you. Bank account opening is a separate process in which banks usually expect signatories in a branch.
Which taxes will the company pay?
Corporate income tax of 15% applies only when profit is distributed; retained profit is not taxed. Dividends to individuals carry 5% withholding. VAT registration at 18% becomes mandatory above GEL 100,000 of taxable turnover in twelve months. Salaries carry 20% personal income tax withheld by the company.
Do I need a Georgian bank account?
Not by law. Many companies use a Georgian bank for taxes and salaries, others use international providers. Opening is always the bank's own compliance decision; no provider can guarantee it.
General information, not legal or tax advice. Fees reflect the Trustlex price list of 2026-10-14.1; rates, thresholds and registry practice reflect September 2026 and change. The route for your case is confirmed by a lawyer at review.
