Register a Company in Georgia from Turkey

Legalising the documents

A Turkish notary certifies the passport copy and the power of attorney; the apostille comes from the governorship or the district governorship, usually the same day. Documents in Turkish then receive a certified Georgian translation, which we arrange; the names must match the passport spelling in Latin letters.

Because the border is close, some founders sign the power of attorney before a Georgian notary in Tbilisi or Batumi instead, which removes the apostille step altogether.

Tax position

Turkey and Georgia have a double tax treaty in force, which governs dividends to a Turkish-resident owner and the treatment of the Georgian company's activity in Turkey. Georgia taxes profit only on distribution, at 15 percent, and the treaty rate applies to dividends where it is lower than the domestic 5 percent.

Trading companies importing from or exporting to Turkey ask about VAT registration early; the 100,000 GEL threshold and the reverse-charge rules are part of the scoping.

Banking

Georgian banks are familiar with Turkish owners and trade flows. The file is the standard one: passport, proof of address, the activity, the counterparties. For import and export businesses the bank asks for contracts or invoices with the first partners.

Lira and euro flows work through the Georgian account; we say at scoping whether an international provider adds anything for your counterparties.
