UK founders form Georgian companies for a low-tax operating entity, a base outside the EU with treaty coverage, or relocation. The process runs remotely from a UK notary to a registered company in about a week once documents arrive.
A UK notary public certifies the passport copy and witnesses the power of attorney; the FCDO Legalisation Office then applies the apostille, by post or through the notary's agent, in a few working days. Solicitor-certified copies without a notary are not enough for the Georgian registry.
Both documents then receive a certified Georgian translation, arranged by us. The originals travel by courier to Tbilisi; the registry files on the originals, not on scans.
The UK and Georgia have a double tax treaty in force. The point to settle early is where the company is managed from: a Georgian company run day to day by a UK-resident sole director can be treated as UK tax resident under central management and control. We raise this at scoping and, where it matters, the structure includes Georgian management substance.
Georgia itself taxes profit only on distribution, at 15 percent, and the treaty governs withholding on dividends to a UK-resident owner.
Georgian banks open accounts for UK-owned companies with the standard file: passport, proof of address, the activity and the first clients. A UK company as shareholder is accepted once a current Companies House extract and the register of persons with significant control are legalised.
