LLC in Georgia for non-residents
Business setup in Georgia for foreigners: an LLC for non-residents, registered under a power of attorney, with a lawyer on your side
For a foreigner, business setup in Georgia can start from abroad: you do not need to be in Georgia, hold a Georgian visa or have a local partner. A notarised and apostilled power of attorney lets Trustlex register the company for you. The charter, the resolution and the power of attorney text are generated from your application and reviewed by an advocate before anything is filed.
This route fits you if
- You live outside Georgia and will not travel for the registration.
- Your founders are individuals with passports from any country.
- Your activity is standard: software, consulting, agency work, e-commerce, holding.
- You want one contact who explains each step in English or Russian and a portal that shows where the file is.
- You may want a residence permit later through your own company.
Take another route if
- You plan to work alone and bill in your own name: the 1% regime for individual entrepreneurs may fit better. See the 1% route
- A corporate shareholder is involved. Its documents need legalisation and a beneficial-owner file, quoted after a short call. Book a call
- You need a Georgian bank account guaranteed. Nobody can promise that; read how banks decide first. Banking for non-residents
- You are in Tbilisi, or can be here for a day or two. You sign in person at the Public Service Hall, with no notary, apostille or courier needed. Register in Tbilisi

How business setup in Georgia works from abroad
- 1
Apply online
About ten minutes: founders, activity, name options, address choice. A preliminary route and document list appear immediately.
- 2
Lawyer review and a power of attorney written for your notary
We check the name and the ownership, choose the tax status with you and send a power of attorney that says exactly what your notary must certify and nothing more: limited to the formation steps, with express exclusions and a one-year expiry.
- 3
Notarise, apostille, courier
You sign before a notary at home, obtain the apostille (or consular legalisation outside the Hague Convention) and send the original by tracked courier. The portal shows the parcel's status.
- 4
Translation, notarisation in Georgia and filing
We arrange the certified Georgian translation, notarise the filing set and submit it to the Public Registry. Registration typically follows within one business day.
- 5
Tax registration and the plan for what comes next
Revenue Service registration and portal access to rs.ge and my.gov.ge, included in the fee, and a plan for the accounting, the bank file, the Virtual Zone status if your activity fits and, if relevant, residence.
What you need
- A passport copy for each founder and director
- The power of attorney original: notarised, apostilled, with a certified Georgian translation that we coordinate
- Proof of residential address for the identity check
- Two options for the company name
- A short description of the activity and the expected clients: the bank will ask for it later
Hague Convention countries use the apostille; others use consular legalisation. Documents in Russian still need a certified Georgian translation.
Questions foreigners and non-residents ask
Do I need a Georgian visa or residence permit to own a company?
No. Ownership and directorship of a Georgian LLC are open to foreign citizens living abroad.
Can the director live outside Georgia?
Yes. A Georgian LLC may have a foreign director resident abroad. Some banks then ask for a local contact person or an address in active use, which Trustlex can provide.
What does the power of attorney allow?
Only the formation steps: filing at the Public Registry, tax registration, use of the registered address and collection of documents. Trustlex drafts it with express exclusions and a one-year expiry so it cannot be used for anything else.
How long does the whole process take?
Registration itself takes about one business day. The apostille, courier and translation before it usually bring the end-to-end timeline to two to three weeks.
Can I get a residence permit through the company later?
Possibly, on conditions that depend on the company's turnover and your role. Trustlex offers a written eligibility pre-check for €120, credited against the full service if you proceed.
Will I have to visit for the bank account?
Usually yes, for each signatory. Fully remote corporate onboarding is limited. The banking page explains what banks ask and how the file is built.
